Examples of Third Payment Date in a sentence
Relevant Founders’ Consideration: (a) as to RMB17.5 million (equivalent to approximately HK$20,833,000) shall be paid to the Founders (or collectively to their order) subsequent to the signing of the Consultancy Services Agreements (as defined below) and in any event no later than the Third Payment Date.
An additional third purchase price (the Third Purchase Price), if any, shall amount up to USD 5 (five) million and shall be paid at the Third Payment Date in accordance with the calculation principles, the allocation schedule and the payment terms and conditions outlined in EXHIBIT 2.3. The Parties explicitly agree and confirm that the claim for the Third Purchase Price shall become existent (entstehen) not prior to the Third Payment Date.
On the Third Payment Date Purchaser shall deposit, or shall cause to be deposited, with the Escrow Agent the Indemnity Escrow Amount, which shall be held in a separate account under the Escrow Agreement (the “Indemnity Escrow Account”) and shall be managed and paid out in accordance with this Agreement and the Escrow Agreement.
DYN shall use the proceeds from such sale or project financing, less related fees and expenses, to satisfy its obligations under Section 2.19.2. Notwithstanding the foregoing, if DYN does not enter into a definitive agreement relating to the sale of ICC on or prior to the Third Payment Date, DYN shall use its commercially reasonable efforts to pursue a project financing of ICC and shall use the proceeds of such project financing, less related fees and expenses, to fund the Purchase Price.
Notwithstanding the foregoing, if the Additional Consideration Liability Amount has not been settled prior to the Third Payment Date in accordance with Section 6.13, then the Maximum Amount shall automatically be set-off against the Third Payment Amount without regard to the Deferred Consideration Set-Off Limitations set forth in clause (A) of the immediately preceding sentence (but subject to the Deferred Consideration Set-Off Limitations set forth in clause (B) of the immediately preceding sentence).
