Third Party OEM Products definition

Third Party OEM Products means products of a Third Party that are marketed and sold by a Party or its Affiliate on behalf of the Third Party under the Third Party’s brand names and regulatory approvals (and not under brand names or regulatory approvals owned by or exclusively licensed to the Party or its Affiliate). In certain countries outside the United States, Medtronic has represented that equivalent marketing and sale of Third Party OEM Products on behalf of a Third Party is conducted without using both the brand names and regulatory approvals of the Third Party. For these countries, “Third Party OEM Products” will also include products of a Third Party that are marketed and sold by a Party or its Affiliate on behalf of the Third Party in such countries outside the United States under the Third Party’s brand names or regulatory approvals (and not under brand names or regulatory approvals owned by or exclusively licensed to the Party or its Affiliate).

  • Except pursuant to the Confidential Dispute Resolution Process as expressly set forth in the ADR Process Agreement, during the Standstill Period in the Field each Grantor hereby covenants not to (and not to cause, consent to or materially assist any Third Party to) Assert any Claim against Grantee for Patent infringement in the Field, except as set forth in the carve outs in Sections 6.1 and 6.2(b) above for the Excluded NuVasive *** Patents and Third Party OEM Products.

  • The licenses, Standstills and Confidential Dispute Resolution Process will not apply to Third Party OEM Products.

  • The licenses in this Article V are subject to the applicable exclusions set forth in Article VI below for Excluded NuVasive *** Patents, Copied Products and Third Party OEM Products.

Related to Third Party OEM Products

  • Third Party Products means the Third Party Software and Third Party Hardware.

  • Third Party Product means a product (whether hardware, software or services) supplied to you by a third party;

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Hemp products means all products made from industrial hemp,

  • Third Party Licensor means the relevant licensor of any Third Party Data or any Third Party Trade Xxxx;

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Third Party Technology means all Intellectual Property and products owned by third parties and licensed pursuant to Third Party Licenses.

  • the Products means all products and associated documentation to be supplied under this Contract;

  • Third Party License means licenses from third parties governing third party software embedded or used in the Trading Platform.

  • Products means information resources technologies that are, or are related to, EIR.

  • Third Party Supplier means a third party manufacturer and/or licensor of Products.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Covered Products means Your Applications, Libraries, Passes, Safari Extensions, Safari Push Notifications, and/or FPS implementations developed under this Agreement.

  • Third Party IP means the Intellectual Property Rights of any third party that is not a party to this Contract, and that is not a Subcontractor.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Third Party Licenses has the meaning set forth in Section 3.

  • Finished Products means the fully assembled and shrink-wrapped Licensed Products, each including a Game Cartridge, Game Cartridge label and Printed Materials.

  • Third Party Data has the meaning set forth in Section 9.3(a).

  • Licensed Field means all fields of use.

  • Licensed Services means all functions performed by the Licensed System.
