The term Common Stock means: (i) the Company's Series A Common Stock, no par value (the "Series A Common Stock"); and (ii) any other securities into which or for which any of the securities described in clause (i) above have been converted or exchanged pursuant to a plan of recapitalization, reorganization, merger, sale of assets or otherwise.
