Related to The Special Committee
Special Committee means a committee of the Company Board consisting of members of the Company Board that are not affiliated with Parent or Merger Sub and are not members of the management of the Company.
Audit Committee means the audit committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.
Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.
Managing Committee means the body of individuals which is entrusted with the management of any recognised private school;
Sub-Committee means a Sub-Committee of a Committee of the Council.
Transition Committee shall have the meaning set forth in Section 2.14.
Independent Board Committee the independent committee of the Board, the members of which consist of the independent non-executive Directors, formed to advise the Independent Shareholders with respect to the Financial Services Framework Agreement and the Caps
Operating Committee means the Operating Committee of Epoch which meets frequently and is responsible for implementing the Company’s strategy, making operational decisions and overseeing the day-to-day running of the Company.
independent review committee means the independent review committee of the investment fund established under National Instrument 81-107 Independent Review Committee for Investment Funds;
Joint Committee means a committee made up of representatives of the Union and Seychelles whose functions are described in Article 12 of this Agreement;
Oversight Committee means the committee established to monitor the overall implementation of the Canada-Ontario-AMO-Toronto Agreement.
Advisory Committee means the Employer's Advisory Committee as from time to time constituted.
Monitoring Committee means the committee established under clause 10 of this Award.
Technical Committee means the body established in accordance with article VII;
Appeal Committee means the committee established under clause 22;
Evaluation Committee means a body appointed to perform the evaluation of Offerors’ proposals.
Company Board of Directors means the board of directors of the Company.
CSR Committee means the Corporate Social Responsibility Committee of the Board referred to in section 135 of the Act.
Steering Committee shall have the meaning set forth in Section 3.1.
Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.
Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.
Review Committee means a panel of members appointed by each tourism region (two per region) and a member of the department’s advertising agency of record to read and score submitted applications. “Tourism regions” means the following three tourism regions: Western Iowa Tourism Region
Investment Committee means the committee in charge of investment aspects of the Plan, as described in Article VII.
Independent Committee means a committee of the Company’s board of directors consisting of three members of the board of directors of the Company that are not affiliated with Parent or Merger Sub and are not members of the Company’s management.
Carrier Liaison Committee or "CLC" is under the auspices of ATIS and is the executive oversight committee that provides direction as well as an appeals process to its subtending fora, the Network Interconnection Interoperability Forum (NIIF), the Ordering and Billing Forum (OBF), the Industry Numbering Committee (INC), and the Toll Fraud Prevention Committee (TFPC). On occasion, the CLC commissions ad hoc committees when issues do not have a logical home in one of the subtending forums. OBF and Network Installation and Maintenance Committee (NIMC) publish business process rules for their respective areas of concern.
State Management Committee means a Committee comprising representatives from the Confederation of Western Australian Industry, the Trades and Labor Council of Western Australia, Technical and Further Education (TAFE) and the relevant Federal and State Government Departments which approve traineeship arrangements by agreement of each of the parties. The State Management Committee may be established pursuant to the provisions of the Industrial and Commercial Training Act, 1975 or any amendment to or substitution of that Act, provided that any Committee or body established in lieu of the State Management Committee has the same representatives structure and decision making processes as that Committee.
