The Company was incorporated in Pakistan on March 26, 2003 as a private limited company which was converted into a public limited company on March 31, 2008 under the Companies Ordinance, 1984 and on 11th of February 2014 has been formaly listed on Karachi Stock Exchnage and Lahore Stock Exchange.
The Board shall from time to time determine whether and to what extent, at what times and places and under what conditions or regulations, the accounting records of the Company, or any of them, shall be open to the inspection of the members not being Directors, and no member (not being a Director) shall have any right of inspecting any accounting record or document of the Company except as conferred by the Companies Ordinance or authorised by the Board or by the Company in general meeting.
To the extent permitted by and subject to compliance with the provisions in the Companies Ordinance, the Listing Rules and other applicable laws, rules and regulations in force from time to time with regard to electronic meetings, all persons seeking to attend and participate in an electronic meeting or a hybrid meeting shall be responsible for maintaining adequate facilities to enable them to do so.
Subject to the provisions of the Companies Ordinance, at least three-fourths of the total voting rights of the members in a general meeting shall be required to approve changes to these Articles.
The Board shall cause to be kept a register of the members and there shall be entered therein the particulars required under the Companies Ordinance.
