Texas Genco Retirement Plan means a non-contributory defined benefit pension plan maintained for participation by eligible Texas-based employees of the Borrower.

SERVICE: Service credited under the Texas Genco Retirement Plan, as in effect on the Texas Genco Sale Date; provided, however, that, to the extent not credited as Service under the Texas Genco Retirement Plan, the term Service for purposes of this Plan shall include the Participant's employment with the Company or its Affiliates during the period commencing on the Texas Genco Sale Date and ending on his or her Termination Date.
