Termination Upon Death or Disability definition

Termination Upon Death or Disability means termination by the Employer by reason of the Employee's death or disability as described in Section 2.3 hereof.
Termination Upon Death or Disability means termination by the Employer by reason of the Employee's death or disability shall mean a termination upon written notification to the Employee if the Employee, in the reasonable judgment of the Board of Directors of the Employer, has failed to perform his duties under this Agreement because of illness or physical or mental incapacity, and such illness or incapacity continues for a period of more than four (4) consecutive months, or in the event of the Employee's death, in which case the Employee's employment shall be deemed to have terminated as of the last day of the month during which his death occurs.

For purposes hereof, "disability" shall mean any termination of employment by the Employer, if the Employee, in the reasonable judgment of the President, has failed to perform her duties because of illness or physical or mental incapacity, and such illness or incapacity continues for a period of more than four (4) consecutive months.

Examples of Termination Upon Death or Disability in a sentence

  • In the event the Employee's employment is terminated in a Termination Upon Death or Disability, the Employee or his estate shall be paid his Base Salary and maximum bonus for the balance of the original term hereof and, except in the event of the Employee's death, the Employer shall continue to make the payments described in Section 3.5 for the balance of the original term hereof.

Termination Upon Death or Disability means that the Company terminates the Employee's employment due to the Employee's death or disability. For purposes of this Agreement "disability" shall mean that the Employee shall become ill, mentally or physically disabled, or otherwise incapacitated, so as to be unable to substantially perform his services hereunder, even with reasonable accommodation, for (i) a period of three (3) consecutive months, or (ii) for shorter periods aggregating three (3) months during any twelve (12) month period.
