Termination Purchase Price definition

Termination Purchase Price. The price, calculated as set forth in Section 10.01, to be paid in connection with the repurchase of the Mortgage Loans pursuant to Section 10.01.
Termination Purchase Price means the monetary amount to be paid to the Terminating Shareholder which shall equal 100% of Value attributable to the Terminating Shareholder, net of the percent of the Liabilities of the Corporation which percent is equal to the Terminating Shareholder’s Applicable Percent and net of any Specific Liabilities attributable to the Shareholder.
