MERCHANT agrees that PARAGON PAYMENT SOLUTIONS’s damages will necessarily include calculations of future damages for lost Terminal Fees.

For the services provided by TGP under this Agreement, Customer shall pay monthly the fees ("Terminal Fees") in accordance with the following table for (i) each net Barrel of Crude Petroleum received by truck at the various truck unloading locations listed below, and (ii) each net Barrel of Crude Petroleum loaded onto Customer's Unit Train at the Fryburg Rail Terminal.
Each of the Terminal Fees indicated above shall be subject to adjustment at each annual anniversary of the Effective Date, or if the anniversary date is not on the first day of a Month, then on the first day of the Month following the anniversary date.

MERCHANT agrees that in any action regarding a breach of this Agreement, PARAGON PAYMENT SOLUTIONS will, be immediately entitled to damages in the amount of the Monthly Terminal Fees multiplied by the months remaining on this Agreement at the time of the breach, pursuant to paragraph 9 below.
Within ten (10) Business Days following the end of each Month, Operator shall send to Customer an invoice for the Terminal Fees and Product Acquisition Cost attributable to such Month.
