Term for Closing definition

Term for Closing means the seventy five (75) calendar days following the date of execution of this Agreement, broken down as follows: sixty (60) calendar days during which the conditions for closing shall be met, and during which period of time Future Buyer shall advise Future Seller its intent to conduct the Closing, plus fifteen (15) additional calendar days to effectuate the Closing, with the understanding that such additional fifteen (15) day period shall only apply if Future Buyer has elected to conduct the Closing.
Term for Closing means the sixty (60) calendar days following the date of the execution of this Contract (or a shorter term as may agreed between the parties), broken down as follows: forty five (45) calendar days during which the Future Buyer will conduct the due diligence on the Property, plus fifteen (15) additional calendar days to effectuate the execution of the Purchase and Sale Agreement (the “Closing”), with the understanding that such additional fifteen (15) days shall only apply if Future Buyer has elected to conduct the Closing. Both parties agree that the Property will be off the market and the Future Seller will not make any attempt to sell, lease or transfer the same, or negotiate or accept any other offers for sale, lease or transfer of the Property during the Term for Closing.

  • Additional Closing has the meaning set forth in Section 2.3.

  • Initial Closing shall have the meaning ascribed to such term in Section 2.1.

  • Third Closing shall have the meaning ascribed to such term in Section 2.1(c).

  • Subsequent Closing has the meaning set forth in Section 3.2.

  • Second Closing has the meaning set forth in Section 2.2.

  • First Closing has the meaning set forth in Section 2.1(a).

  • Offer Closing Date has the meaning set forth in Section 1.01(f).

  • Additional Closing Date shall have the meaning set forth in Section 2.3.2.

  • IPO Closing means the initial closing of the sale of the Class A Common Stock in the IPO.

  • Merger Closing Date the Closing Date (as defined in the Merger Agreement).

  • Outside Closing Date means the date which is 365 days after the earlier of the Firm Closing Date; or Second Tentative Closing Date; or such other date as may be mutually agreed upon in accordance with section 4. “Property” or “home” means the home including lands being acquired by the Purchaser from the Vendor. “Purchaser’s Termination Period” means the 30-day period during which the Purchaser may terminate the Purchase Agreement for delay, in accordance with paragraph 10(b).

  • Loan Closing means the date on which an executed Loan Agreement between the Trust and a Borrower is delivered pursuant to this Bond Resolution.

  • Series Closing Date means the date designated as such in the Series Term Sheet.

  • Third Closing Date has the meaning set forth in Section 2.2(c).

  • Option Closing Date shall have the meaning ascribed to such term in Section 2.2(c).

  • Option Closing means the closing of the purchase and sale of the Option Shares pursuant to Section 2.2.

  • Merger Closing shall have the meaning set forth in Section 2.2.

  • Subsequent Closing Date means, with respect to each Subsequent Closing, the date on which such Subsequent Closing is deemed to have occurred.

  • Second Closing Date has the meaning set forth in Section 1.3.

  • New Services Queue Closing Date means each April 30 and October 31 shall be the Queue Closing Date for the New Services Queue comprised of Interconnection Requests, Completed Applications, and Upgrade Requests received during the six-month period ending on such date. New York ISO or NYISO: “New York ISO” or “NYISO” shall mean the New York Independent System Operator, Inc. or any successor thereto.

  • Initial Closing Date shall have the meaning assigned to such term in Section 1.2 hereof.

  • Original Closing Date means March 21, 2013.

  • Closing Warrants shall have the meaning ascribed to such term in Section 2.1(a)(ii).

  • Loan Closing Date means the date upon which the Loan is made to the Company.

  • Acquisition Closing Date means the “Closing Date” under and as defined in the Acquisition Agreement.

  • Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.
