Definition of Term B Loan Exposure

  1. Term B Loan Exposure means, with respect to any Term B Lender, as of any date of determination, the sum of (a) the outstanding principal amount of the Term B Loans of such Term B Lender plus (b) such Lender's Term B Loan Commitment (exclusive of any portion thereof that has been terminated by funding or otherwise).
