Term B-2 Funding Date means the date on which the Term B-2 Lenders make the Term B-2 Loans.
Delayed Draw Funding Date means the date occurring on or after the Effective Date upon which all of the conditions to funding the Delayed Draw Term Loan set forth in Section 6.02 are satisfied and the Delayed Draw Term Loan is funded.
Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.
Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.
Term A-2 Loan means an advance made by any Term A-2 Lender under the Term A-2 Facility.
Term C Loan is defined in Section 2.2(a)(iii) hereof.
Term B-1 Loan means a Loan made pursuant to Section 2.01(a).
Term B Loan Maturity Date means December 7, 2023.
Delayed Draw Term Loan Commitment Termination Date means the earliest to occur of (i) December 31, 2008, (ii) the date the Delayed Draw Term Loan Commitments are permanently reduced to zero pursuant to Section 2.1, and (iii) the date of the termination of the Delayed Draw Term Loan Commitments pursuant to Section 11.1.
Term B Loan is defined in Section 2.2(a)(ii) hereof.
Tranche C Term Loan as defined in Section 2.1.
Term Loan B Maturity Date means the earliest of (a) May 24, 2014, or (b) such earlier date upon which the Outstanding Amounts under the Term Loan Facility, including all accrued and unpaid interest, are required to be paid in full in accordance with the terms hereof.
Incremental Facility Closing Date has the meaning set forth in Section 2.14(d).
Tranche C Loan has the meaning specified in Section 2.01(c).
Delayed Draw Term Loan has the meaning specified in Section 2.01(b).
Delayed Draw Term Loan Commitment means the Lender’s obligation to make the Delayed Draw Term Loan to the Borrower pursuant to Section 2.01(a), as such amount may be adjusted from time to time in accordance with this Agreement.
Term A Loan Maturity Date means July 18, 2024 or, if such date is not a Business Day, the immediately preceding Business Day.
Tranche B Term Loan Maturity Date means April 9, 2020 (or if such date is not a Business Day, the immediately preceding Business Day) or such earlier date as may result from the operation of Section 2.08(b), if applicable.
Term B Note means a promissory note made by the Borrower in favor of a Term B Lender, or its registered assigns, evidencing Term B Loans made by such Term B Lender, substantially in the form of Exhibit C-1.
Term B Borrowing means a borrowing consisting of simultaneous Term B Advances of the same Type made by the Term B Lenders.
Term A Loan is defined in Section 2.2(a)(i) hereof.
Term B Loans has the meaning specified in Section 2.01(a).
Delayed Draw Term Loan Lender means a Lender with a Delayed Draw Term Loan Commitment or an outstanding Delayed Draw Term Loan.
Tranche C Term Loan Commitment means the commitment of a Lender to make a Tranche C Term Loan to Company pursuant to subsection 2.1A(iii), and "Tranche C Term Loan Commitments" means such commitments of all Lenders in the aggregate.
Closing Date Term Loan Commitment means, in the case of each Lender that is a Lender on the Closing Date, the amount set forth opposite such Lender’s name on Schedule 1.1(b) as such Lender’s Closing Date Term Loan Commitment. The aggregate amount of the Closing Date Term Loan Commitments as of the Closing Date is $820,000,000.
Term B Loan Commitment means, with respect to each Lender, the commitment of such Lender to make Term B Loans hereunder. The amount of each Lender’s Term B Loan Commitment as of the Closing Date is set forth on Schedule 2.01. The aggregate amount of the Term B Loan Commitments as of the Closing Date is $4,700.0 million.
Term B-1 Lender means, at any time, any Lender that has a Term B-1 Commitment or a Term B-1 Loan at such time.
