TEQV definition

TEQV means an amount equal to the following, in each case determined as of the Call Closing Date: (i) the TEV, minus (ii) Indebtedness of the Company (excluding Indebtedness under the Note), plus (iii) Cash of the Company lawfully available for distribution to its Stockholders, multiplied by (iv) the Applicable Percentage.
