Tendering Shareholder definition

Tendering Shareholder means any record or beneficial holder of Shares who tenders Shares into the Offer.
Tendering Shareholder means a Shareholder, other than Magna, Magna Subco or a Dissenting Shareholder, who has identified on such Shareholder's Letter of Transmittal that the beneficial owner of such Shareholder's Tesma Class A Subordinate Voting Shares is either (a) exempt from tax under Part I of the ITA or (b) not a Canadian Resident.

  • Upon request, the Tendering Shareholder will execute and deliver any additional documents necessary to complete the sale in accordance with the terms of the Offer.

  • If the Tendering Shareholder will lodge its shares through a different PSE authorized broker, other fees such as lodgment fee and EQ trade transfer fee (as applicable) will be for the account of the Tendering Shareholder.

  • If the Tendering Shareholder will lodge its shares through the Tender Offer Agent, other fees such as lodgment fee and EQ trade transfer fee (as applicable) will be for the account of the Bidder.

  • Selling Shareholders sections in substantially the form attached hereto as Exhibit B. The Company shall use its reasonable best efforts to have each Additional Registration Statement declared effective by the SEC as soon as practicable, but in no event later than the Additional Effectiveness Deadline. By 9:30 a.m. New York time on the Business Day following the Additional Effective Date, the Company shall file with the SEC in accordance with Rule 424 under the 1933 Act the final prospectus to be used in connection with sales pursuant to such Additional Registration Statement.

  • Major Shareholder means a shareholder who directly or indirectly holds 10% or more of the voting rights.
