See “Description of the Tender Offers—Withdrawal of Tenders.” In the event of a termination of the Tender Offer, none of the Total Consideration, the Early Participation Payment, the Tender Offer Consideration or any Accrued Interest will be paid or become payable to the tendering Holders, and the Notes tendered pursuant to the Tender Offer will be promptly returned to such Holders.
Per $1,000 principal amount of Notes and excluding accrued and unpaid interest, which will be paid in addition to the Total Consideration or Tender Offer Consideration, as applicable.
The Total Tender Offer Consideration consists of the Tender Offer Consideration and the Early Tender Payment.
