Definition of Tenant's Proportionate Share of Direct Operating Expenses

Tenant's Proportionate Share of Direct Operating Expenses means, for each calendar year (or portion thereof) and for each applicable portion of the Premises, the product of (i) the Operating Expense Amount (defined below) multiplied by a fraction, the numerator of which is the number of square feet contained in such applicable portion of the Premises and the denominator of which is the number of rentable square feet contained in the Building (432,402). As used herein, the "Operating Expense Amount" shall mean, for each calendar year (or portion thereof), the amount by which the Direct Operating Expenses (defined below) exceeds the Base Year's Direct Operating Expenses.
