Tenant Representation means any services provided by an agent to a prospective tenant in connection with the locating of available space in a commercial building appropriate to the needs of such tenant and negotiation, on behalf of the prospective tenant, with the owner of such building of the terms and conditions of a lease or rental agreement with respect to such space, all as agreed upon by such agent and such tenant, the fee for which may be paid by the prospective tenant or by a third party "Third Post-Closing Annual Period"--as defined in Section 2.5(a)(i).
