Definition of Tenant Deposits

  1. Tenant Deposits means all security deposits, paid or deposited by the Tenants to Seller, as landlord, or any other person on Seller's behalf pursuant to the Tenant Leases, which have not been applied to obligations under Tenant Leases (together with any interest which has accrued thereon, but only to the extent such interest has accrued for the account of the respective Tenants). "Tenant Deposits" shall also include all non-cash security deposits, such as letters of credit.

  1. Tenant Deposits shall not include any non-refundable deposits or fees paid by Tenants to the applicable Seller, either pursuant to the Leases or otherwise.
  2. As of the Closing, Purchaser shall assume Seller's obligations related to the Tenant Deposits but only to the extent they are credited or transferred to Purchaser.
  3. Sellers interest, as landlord, owner or licensor (as applicable) in all (a) Leases, (b) Tenant Deposits and (c) Lease Guaranties;

Definition of Tenant Deposits in Agreement of Purchase and Sale

Tenant Deposits means, with respect to a Property, all security deposits, prepaid rentals, cleaning fees and other refundable deposits and fees collected from Tenants, plus any interest accrued thereon, paid by Tenants to the applicable Seller pursuant to its Leases. Tenant Deposits shall not include any non-refundable deposits or fees paid by Tenants to the applicable Seller, either pursuant to the Leases or otherwise. 1.1.107
