Tenant Deliveries definition

Tenant Deliveries means the following instruments and documents to be executed, acknowledged and/or delivered by Tenant to Landlord and at such time or times as the same are reasonably requested by Landlord, including, without limitation, in conjunction with a sale of the Property by Landlord: (a) Tenant Estoppel Certificate in form acceptable to Landlord and its lenders or potential purchasers of the Property; (b) memorandum of Lease, if applicable;
Tenant Deliveries means the following instruments and documents to be executed, acknowledged and/or delivered by Tenant to Landlord and at such time or times as the same are reasonably requested by Landlord, including, without limitation, in conjunction with a sale of the Property by Landlord: (a) Tenant Estoppel Certificate in form acceptable to Landlord and its lenders or potential purchasers of the Property; (b) the Short Form Lease Agreement in the form attached hereto as Schedule C; (c) the insurance certificate required pursuant to Section 10.4; (d) the subordination, non-disturbance and attornment agreement provided for in Section 29.2; and (e) one or more legal opinions from outside counsel for Tenant licensed in the State and/or jurisdiction of their state and nation of formation acceptable to Landlord (“Tenant’s Counsel Opinion”), stating that (A) Tenant is duly formed, validly existing, and in good standing under the laws of its state of formation and is qualified to conduct business in the State; (B) the Tenant is an entity described in Section 501(c) of the Internal Revenue Code and the income thereof is exempt from federal income tax under Section 501(c)(3) of the Internal Revneue Code; (C) the person executing the Lease is duly appointed and authorized by Tenant to execute the Lease; (D) the Lease has been duly authorized, executed and delivered by Tenant, and constitutes a legal, valid and binding obligation of Tenant, enforceable against Tenant in accordance with its terms subject to exceptions relating to bankruptcy, insolvency and the application of equitable principles; (E) Tenant has full power and authority to execute, deliver and perform its obligations under the Lease and to carry on its businesses as presently conducted; (F) to the current, actual knowledge of Tenant’s counsel based on due inquiry to Tenant, the execution, delivery and performance of the Lease will not conflict with or result in a breach or violation of any term or provision of, or constitute a default under (1) the Articles of Incorporation or Bylaws of Tenant, (2) any loan agreement, mortgage, deed of trust, lease, license or other agreement or instrument to which Tenant is a party or by which Tenant is bound, (3) any statute, order, rule or regulation of any governmental body or agency or instrumentality thereof, or (4) any order, writ, injunction or decree

Examples of Tenant Deliveries in a sentence

  • Landlord shall indicate whether it disputes and reasonably disapproves the Tenant Deliveries within five (5) Business Days following receipt thereof (a “Landlord Allowance Notice”).

  • Within fifteen (15) days following Landlord’s receipt and reasonable approval of the Tenant Deliveries (defined below), Landlord shall deliver to Tenant (not more than once each month) a check made out to Tenant’s Contractor and/or vendors in an amount equal to that invoiced amount set forth in an invoice from Tenant’s Contractor and/or vendors to Landlord setting forth the work on the Second Extension Improvements which was completed over the prior thirty (30) day period.

  • Neither this Agreement or any attached Schedules, nor any other certificate or document furnished by FPIO to FPIN pursuant hereto, contains any untrue statements of a material fact or omits a material fact necessary to make the statements contained therein and herein not misleading.

  • Upon the execution of this Lease, Tenant shall deliver to Landlord the Tenant Deliveries (as set forth on Exhibit E) and shall pay to Landlord the Advance Rent (as defined on Exhibit E).

  • Within thirty (30) days following Landlord’s receipt and reasonable approval of the Tenant Deliveries (defined below), Landlord shall deliver to Tenant (not more than once each month) a check made out to Tenant or Tenant’s Contractor and/or vendors in an amount equal to Landlord’s proportion of the invoiced amount set forth in an invoice from Tenant to Landlord setting forth the work on the Phase I Premises Improvements which was completed over the period since the prior disbursement request.

  • Within fifteen (15) days following Landlord’s receipt and reasonable approval of the Tenant Deliveries (defined below), Landlord shall deliver to Tenant (not more than once each month) a check made out to Tenant in an amount equal to that invoiced amount set forth in an invoice from Tenant’s Contractor and/or vendors to Landlord setting forth the work on the Suite 110 Expansion Improvements which was completed over the prior thirty (30) day period.

  • Landlord shall deliver the Premises to Tenant hereby on the Commencement Date set forth in Section 3.2 of the Summary if, prior thereto, Tenant has delivered all of the Required Tenant Deliveries.

  • Landlord shall deliver possession of the Premises to Tenant in its “as is” condition within one (1) business day after the later to occur of (a) the full execution and delivery of this Lease by Landlord and Tenant and (b) Landlord’s receipt of the Tenant Deliveries (the “Delivery Date”).

  • Within fifteen (15) days following Landlord’s receipt and reasonable approval of the Tenant Deliveries (defined below), Landlord shall deliver to Tenant (not more than once each month) a check made out to Tenant in an amount equal to that invoiced amount set forth in an invoice from Tenant’s Contractor and/or vendors to Landlord setting forth the work on the Suite 100 Expansion Improvements which was completed over the prior thirty (30) day period.

  • Prior to any final disbursement of the TI Fund, Tenant shall have delivered to Landlord the Tenant Deliveries.
