Ten Percent Attribution Stockholder definition

Ten Percent Attribution Stockholder means an Employee who at the time an Option is granted owns, directly and through attribution under Code Section 424(d), Shares possessing more than ten percent (10%) of the total combined voting power of all classes of stock of the Company, or of any parent or subsidiary corporation, as defined in Code Section 424.

  • Notwithstanding anything in the foregoing to the contrary, in the event of a grant of an Incentive Stock Option to a Ten Percent Attribution Stockholder, the Option Price to such Ten Percent Attribution Stockholder shall be at least equal to one hundred ten percent (110%) of the fair market value of the Shares at the time of the Incentive Stock Option grant.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Fully Adjusted Regular Purchase Share Limit means, with respect to any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction from and after the date of this Agreement, the Regular Purchase Share Limit (as defined in Section 2(a) hereof) in effect on the applicable date of determination, after giving effect to the full proportionate adjustment thereto made pursuant to Section 2(a) hereof for or in respect of such reorganization, recapitalization, non-cash dividend, stock split or other similar transaction.

  • Nonqualified Stock Option means an Option that is not an Incentive Stock Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Exercise Price Per Share hereinafter “Exercise Price” means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).

  • Fifty-Percent or Greater Interest shall have the meaning ascribed to such term for purposes of Sections 355(d) and (e) of the Code.

  • Taxable value per membership pupil means each of the following divided by the district’s membership:

  • ISO means an employee incentive stock option described in Section 422(b) of the Code.

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.
