Definition of Ten Percent Attribution Stockholder


Ten Percent Attribution Stockholder means an Employee who at the time an Option is granted owns, directly and through attribution under Code Section 424(d), Shares possessing more than ten percent (10%) of the total combined voting power of all classes of stock of the Company, or of any parent or subsidiary corporation, as defined in Code Section 424.

Examples of Ten Percent Attribution Stockholder in a sentence

Notwithstanding anything in the foregoing to the contrary, in the event of a grant of an Incentive Stock Option to a Ten Percent Attribution Stockholder, the Option Price to such Ten Percent Attribution Stockholder shall be at least equal to one hundred ten percent (110%) of the fair market value of the Shares at the time of the Incentive Stock Option grant.
Notwithstanding the foregoing, the full term of each Incentive Stock Option granted a Ten Percent Attribution Stockholder shall not exceed five (5) years from the date of grant thereof.
