Tempus Resorts Chapter 11 Plan means the chapter 11 plan confirmed by the Tempus Resorts Confirmation Order.
Chapter 11 Plan means a plan of reorganization or liquidation filed in any of the Chapter 11 Cases under Section 1121 of the Bankruptcy Code.
Enterprise Agreement means an agreement certified under the Workplace Relations Act 1996 (Cth) or approved under the Industrial Relations Act 1996 (NSW).
Chapter 11 means Chapter 11 of the Bankruptcy Code.
Corporate Services Agreement means the Corporate Services Agreement dated as of the date hereof between the Borrower and the Services Provider, as amended from time to time in accordance with the terms hereof and thereof.
Network Operating Agreement means an executed agreement that contains the terms and conditions under which the Network Customer shall operate its facilities and the technical and operational matters associated with the implementation of Network Integration Transmission Service under Tariff, Part III. Reorganization Agreement has the meaning set forth in the recitals.
Co-operation Agreement means the agreement between the Exchange and Oslo Børs with regards to the access to the Linked Order Book;
ESMP or “Environmental and Social Management Plan” means with respect to each activity under the Project pursuant to which the ESMF requires it, a plan to be prepared by the Recipient pursuant to Section I.D.1 of Schedule 2 to this Agreement, in accordance with the provisions of the ESMF and approved by the Association, setting out measures to mitigate any adverse environmental and social impacts arising from such activities; and “ESMPs” means more than one ESMP.
Reorganization Plan means a plan of reorganization in any of the Cases.
Hotel Management Agreement means any hotel management agreement relating to the management and operation of the Real Property together with all supplements, amendments and modifications thereto.
Expense Agreement means the Agreement as to Expenses and Liabilities between the Depositor and the Trust, substantially in the form attached as Exhibit D, as amended from time to time.
Performance Guaranty means the Performance Guaranty, dated as of the Closing Date, by the Performance Guarantor in favor of the Administrative Agent for the benefit of the Secured Parties, as such agreement may be amended, restated, supplemented or otherwise modified from time to time.
Operating Agreement means this Operating Agreement as originally executed and as amended from time to time.
Sponsor Management Agreement means the management agreement between certain of the management companies associated with the Investors and the Issuer.
Company Acquisition Agreement has the meaning set forth in Section 5.04(a).
New Management Agreement means the management agreement to be entered into between Buyer and the Manager for the operation and management of the Hotel on and after the Closing Date.
Asset Management Agreement means, as the context requires, any agreement entered into between a Series and an Asset Manager pursuant to which such Asset Manager is appointed as manager of the relevant Series Assets, as amended from time to time.
Existing Management Agreement means that certain management agreement between the Seller and the Existing Manager for the operation and management of the Hotel.
ESMF means Environmental and Social Management Framework, the document adopted by the Recipient on December 29, 2006, as updated as of June 21, 2010, consisting of a framework outlining the modalities for social and environmental screening of Project activities and rules and procedures for the preparation and implementation of ESIA to be complied with, as the case may be, prior to carrying out such activity.
the BCTF Plan means the Group RRSP entered into by the Federation and Royal Trust or a successor to that plan;
Investment Management Agreement or IMA means the Investment Management Agreement (IMA) dated December 9, 2002, executed between UTI Trustee Company Private Limited and UTI Asset Management Company Limited.
Investment Management Agreement means the Investment Management Agreement, dated as of the date hereof, by and between the Investment Manager and the Borrower.
Parent Guaranty means the guaranty of the Parent pursuant to Section 15.
Restructuring Agreement shall have the meaning set forth in the recitals.
Plan Support Agreement means that certain Plan Support Agreement, dated as of August 9, 2015 (as amended on September 11, 2015, October 27, 2015, and November 12, 2015, and as may be amended, supplemented, or otherwise modified from time to time in accordance therewith), by and among the Debtors, the Original Plan Sponsors, the TCEH Supporting First Lien Creditors, the TCEH First Lien Agent, the TCEH Supporting Second Lien Creditors, the TCEH Committee, and certain other Entities, including all exhibits and schedules attached thereto.
Parent Agreement has the meaning given to it in Clause 12;
