Temporary ADR(s) definition

Temporary ADR(s) means the ADRs issued by the Depositary to evidence Temporary ADSs issued under the terms of this Deposit Agreement (including, without limitation, Section 2.12 hereof), as such Temporary ADRs may be amended from time to time in accordance with the terms hereof. A Temporary ADR may evidence any number of Temporary ADSs and may, in the case of Temporary ADSs held through a central depository such as DTC, be in the form of a “Balance Certificate”. Temporary ADRs shall, unless otherwise specifically set forth herein or in the applicable Temporary ADR(s), be deemed to be ADRs for all purposes under this Deposit Agreement.
Temporary ADR(s) as defined in Section 2.10, shall mean the Temporary American Depositary Receipts issued hereunder evidencing Temporary ADSs.
Temporary ADR(s) means, collectively or individually as the context requires, the Temporary EC ADRs and/or the Temporary COP ADRs, each as issued under the terms of this Deposit Agreement. Unless otherwise specifically set forth herein, Temporary ADRs shall be deemed for all purposes to be Receipts issued under the terms of this Deposit Agreement.

Examples of Temporary ADR(s) in a sentence

  • The Share ADRs and the Temporary ADRs shall each bear a separate and distinct CUSIP number that is different from one another and from any CUSIP number that was, is or may be assigned to any depositary receipts previously or subsequently issued pursuant to any other arrangement between the Depositary (or any other depositary) and the Company and which are not ADRs outstanding hereunder.

  • If memories are short, the period needed to revive trust in banks may be only a few years.

  • Notwithstanding anything in this Section 2.03 to the contrary, the Depositary shall execute and deliver Temporary ADRs evidencing Temporary ADSs only in respect of a deposit of a Certificate of Payment in connection with an offering of Shares.

  • Notwithstanding anything herein to the contrary, the Depositary shall not issue Temporary ADRs in physical certificated form and Holders of Temporary ADRs shall not be entitled to receive definitive Temporary ADRs, except as may be required by any book-entry settlement system in which the Temporary ADSs are accepted for settlement.

  • No certificated Temporary ADRs will be issued except for a balance certificate evidencing all Temporary ADSs held in DTC, which shall be substantially in the form of the Temporary ADR set forth in Exhibit A hereto, except as may be necessary to identify and treat the Temporary ADSs as separate and distinct from any other ADSs issued under the terms of this Deposit Agreement.

  • The Share ADRs and the Temporary ADRs shall each bear a separate and distinct CUSIP number that is different from one another and from any CUSIP number that was, is or may be assigned to any depositary receipts previously or subsequently issued pursuant to any other arrangement between the Depositary (or any other depositary) and the Company and which are not Receipts issued hereunder.

Related to Temporary ADR(s)

  • Temporary use means a use or structure on improved or unimproved real estate which is of impermanent nature, and is used for less than ninety days in a calendar year.

  • Temporary Global Note means a global note in the form or substantially in the form set out in Part 1 of Schedule 6 together with the copy of the applicable Final Terms attached to it with such modifications (if any) as may be agreed between the Issuer, the Agent and the relevant Dealer, comprising some or all of the Notes of the same Series issued by the Issuer under the Programme Agreement or any other agreement between the Issuer and the relevant Dealer; Tranche means Notes which are identical in all respects (including as to listing); and

  • Temporary Work means all temporary works of every kind required in or about the execution, completion and maintenance of the works.

  • Temporary sign means a sign not permanently fixed and not intended to remain fixed in one position;

  • Temporary Vacancy a vacancy in a position caused by the regularly assigned employee being absent from duty or temporarily assigned to other duties.

Any projects or assignments of limited duration in excess of that provided for herein will be posted.

  • temporary resident means a person who, in accordance with standards prescribed in rules adopted by the registrar, resides in this state on a temporary basis.
