Definition of Temple-Inland


Temple-Inland means Temple-Inland Inc., a Delaware corporation.

9In addition to any obligations imposed by law upon any successor to Temple-Inland, Temple-Inland will require any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or substantially all of the business and/or assets of Temple-Inland to expressly assume and agree to perform this Agreement in the same manner and to the same extent that Temple-Inland would be required to perform it if no such succession had taken place.
Upon entitlement to payment under the plan, Temple-Inland shall be solely responsible for the settlement of all shares payable in the form of Temple-Inland Common Stock, Guaranty shall be solely responsible for the settlement of all shares payable in the form of Guaranty Common Stock, and Forestar shall be solely responsible for the settlement of all shares payable in the form of Forestar Common Stock, in each case regardless of the person entitled to payment.
After the earlier of the Forestar Distribution Date and Guaranty Distribution Date, this Agreement may not be terminated except by an agreement in writing signed by Temple-Inland, Forestar and Guaranty.
With respect to Post-Distribution Periods or portions thereof, Temple-Inland and any Temple-Inland affiliate, Forestar and any Forestar affiliate, and Guaranty and any Guaranty affiliate, shall be liable for their respective Taxes.
Following the Relevant Time, Temple-Inland (acting directly or through its Affiliates) shall retain, and neither Guaranty nor Forestar (nor any of their respective Affiliates) shall have any obligation whatsoever with regard to, all obligations and Liabilities under, or with respect to, the Temple-Inland Retirement Plan.
