Telenor Parties definition

Telenor Parties means, collectively, Telenor ASA, Telenor East, Telenor Mobile, Telenor Ukraina I, Telenor Xxxxxxx XX, Xxxxxxx Xxxxxxx XXX, Xxxxxxx Xxxxxxx IV, Telenor Ukraina V, Telenor Ukraina VI, Telenor Ukraina VII and the other Subsidiaries of Telenor ASA that are parties to the Settlement Agreement.

Telenor Parties has the meaning specified in the Preamble.

Each and all of the covenants and agreements of the Alfa Parties to be performed or complied with prior to or on the Closing Date shall have been performed or complied with in all material respects by the Alfa Parties, and the Alfa Parties shall have delivered to the Telenor Parties a certificate to that effect, dated the Closing Date, and signed by an authorized representative of Altimo.
Each and all of the covenants and agreements of the Telenor Parties to be performed or complied with prior to or on the Closing Date shall have been performed or complied with in all material respects by the Telenor Parties, and the Telenor Parties shall have delivered to the Alfa Parties a certificate to that effect, dated the Closing Date, and signed by an authorized representative of Telenor Mobile.

The Telenor Parties are acquiring securities pursuant to the Kyivstar Share Exchange for their own account for investment purposes only and not with a view to, or for sale or resale in connection with, any public distribution of such shares or any interest therein nor with any present intention of selling, distributing or otherwise disposing of any of such shares.
On the Closing Date, the Telenor Parties will transfer to HoldCo, and cause HoldCo to have sole and exclusive ownership of, the Telenor Kyivstar Shares, free and clear of any Liens other than those Liens or rights arising under the Transaction Agreements.
This Agreement may not be assigned by any of the Telenor Parties without the prior written consent of Altimo or by any of the Alfa Parties without the prior written consent of Telenor Mobile.
This Escrow Agreement may only be modified by a written instrument signed by the Alfa Parties, the Telenor Parties and the Escrow Agent (or their respective successors and assigns), and no waiver hereunder shall be effective unless in a writing signed by the parties hereto.

Related to Telenor Parties

Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.
Investor Parties has the meaning set forth in the Preamble.
Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
Parent Parties has the meaning set forth in ARTICLE V.
MTS means the San Diego Metropolitan Transit System, a public agency created pursuant to Public Utilities Code Section 120050 et seq.
Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.
Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.
Company Representatives shall have the meaning set forth in Section 6.5(a).
Representative Plaintiffs means Plaintiffs Xxxxx Xxxxxxx, Xxxxxxx Xxxxxxx, and Xxxxxx X. Xxxxx.
Other Representatives the Syndication Agents, and the Lead Arrangers.
Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;
Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.
Partnership Parties has the meaning assigned to such term in the preamble.
Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.
Parent Representatives has the meaning set forth in Section 5.2(a).
Buyer Representatives has the meaning set forth in Section 4(e).
Party/Parties means Buyer and Seller individually/collectively.
Affiliates means, with respect to any Person, any other Person that, directly or indirectly, controls, or is controlled by, or is under common control with, such Person. As used in this definition, “control” (including, with its correlative meanings, “controlled by” and “under common control with”) shall mean the possession, directly or indirectly, of the power to direct or cause the direction of management or policies of a Person, whether through the ownership of securities or partnership or other ownership interests, by contract or otherwise.
Company Entities means the Company and the Company Subsidiaries.
CAMC means Centennial Asset Management Corporation.

Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.
Bank Parties means Administrative Agent and the Banks.
Campfire means a small outdoor fire intended for recreation or cooking not including a fire intended for disposal of waste wood or refuse.
