None of the Telemig/Amazonia Companies is in default under the terms of any Contracts related to Debt to which any of the Telemig/Amazonia Companies is a party or by which they are bound, and to the Knowledge of the Seller no other party to any such Contracts is in default under the terms thereof.
None of the Telemig/Amazonia Companies is subject to any Order, writ, injunction or decree of any court or any federal, state, municipal or other domestic or foreign Governmental Authority that would not reasonably be expected, individually or in the aggregate, to have a Seller Material Adverse Effect.

The Base Financial Statements and the Telemig/Amazonia Companies' financial statements for the fiscal-year ending December 31, 2006 (a) have been prepared in accordance with Brazilian GAAP and are in accord with the books and records of the Telemig/Amazonia Companies, and (b) fairly present, in all material respects, the financial condition and results of operations of the Telemig/Amazonia Companies as of the respective dates, except as set forth in the notes thereto.
