In the event that Alfa delivers to GTS a Contingent Call Notice (as defined in the Stock Option Agreement dated as of May 11, 2001 between Alfa Telecom Limited and Global TeleSystems, Inc.), CIG and Barings shall have the right to purchase Shares purchased by Alfa thereunder at the same price on a pro rata basis, based on its respective Pro Rata Portion.
