TCP Tax Sharing Agreement means an intercompany agreement among TCP, Licensee and their respective Subsidiaries pertaining to the allocation of responsibility for tax liability among such parties, which agreement shall contain terms and conditions that are customary for agreements of such nature. Such agreement, together with any amendments, modifications, waivers, renewals, replacements or other changes thereto or thereunder, shall be subject to the approval of TDSF in its business judgment.
