Definition of TCEP


TCEP means (i) TCEP/LECG Funding Corporation, a Delaware corporation, and (ii) any Affiliate of TCEP which purchases Units pursuant to the Purchase Agreement and which becomes an Additional Unitholder pursuant to Section 11.2.

Examples of TCEP in a sentence

Each of the parties to this Agreement (including TCEP) will be entitled to enforce its rights under this Agreement specifically, to recover damages and costs (including attorney's fees) caused by any breach of any provision of this Agreement and to exercise all other rights existing in its favor.
The provisions of this Agreement may be amended or and waived only with the prior written consent of the Company, the Executive and TCEP.
Lone Star agrees to, and does hereby assume, the performance of all of the terms, covenants and conditions of the Letter and all of the obligations and liabilities of H&F and TCEP, arising out of, or relating to, the Letter, whether accruing, or being required to be paid or performed, prior to, on or after the date hereof.
Lone Star acknowledges and agrees that any reference to H&F or TCEP in the Letter shall be deemed to refer to Lone Star from and after the date of this Agreement.
Additionally any Commitment Fee payment shall be prorated in the event the TCEP Guarantee is fully funded or terminated prior to any payment date.
