TCEP means (i) TCEP/LECG Funding Corporation, a Delaware corporation, and (ii) any Affiliate of TCEP which purchases Units pursuant to the Purchase Agreement and which becomes an Additional Unitholder pursuant to Section 11.2.
Each of the parties to this Agreement (including TCEP) will be entitled to enforce its rights under this Agreement specifically, to recover damages and costs (including attorney's fees) caused by any breach of any provision of this Agreement and to exercise all other rights existing in its favor.
The provisions of this Agreement may be amended or and waived only with the prior written consent of the Company, the Executive and TCEP.
TCEP allows state housing tax credit allocating agencies to exchange a portion of the housing tax credits for cash grants.
Lone Star agrees to, and does hereby assume, the performance of all of the terms, covenants and conditions of the Letter and all of the obligations and liabilities of H&F and TCEP, arising out of, or relating to, the Letter, whether accruing, or being required to be paid or performed, prior to, on or after the date hereof.
The re-refining of used motor oil that Vertex Energy manages takes place at its facility, which uses a proprietary Thermal Chemical Extraction Process ("TCEP") technology.
