Examples of Tax Returns in a sentence
Buyer shall duly prepare all (or cause to be prepared) and file (or cause to be filed) all Tax Returns (other than any Seller Return) of the Company and its Subsidiaries that are due (taking into account any extensions of time to file) after the Closing Date (each such Tax Return being a “Buyer Return”).
All such Tax Returns were true and complete in all material respects.
The Company has provided to Buyer true and complete copies of all Tax Returns, examination reports and statements of deficiencies filed, assessed against or agreed to by the Company during the past five (5) years.
Seller shall prepare (or cause to be prepared) and file (at the expense of Seller) all Income Tax Returns for the Company and its Subsidiaries that are for a tax period ending on or prior to the Closing Date (each such Tax Return being a “Seller Return”).
