Tax-Related Liabilities definition

Tax-Related Liabilities means (a) any U.S. federal, state and local and non-U.S. tax obligations owed by a Member (including any Company Level Taxes for which a Member is liable hereunder, but excluding any obligations to remit any amounts withheld from payments to third parties) and (b) any obligations of such Member under the TRA or any Subsequent TRA.
Tax-Related Liabilities means an amount, as determined in good faith by the Managing Member, equal to aggregate federal, state, local, and non-U.S. tax payable by direct or indirect holders of equity interests in the Company on the taxable income attributable to the Company or any of its direct or indirect Subsidiaries, assuming the applicability of the highest marginal U.S. federal, state, and local income tax rates.
Tax-Related Liabilities means the tax related liabilities set out in the table in section 721-10(2) of the 1997 Act.

  • SpinCo Liabilities shall have the meaning set forth in Section 2.3(a).
