Tax Related Costs means any costs, expenses, losses, or damages, including reasonable attorneys' and accountants' fees and expenses incurred in connection with the investigation, determination, assessment or collection of any Tax.
Examples of Tax Related Costs in a sentence
If a taxable period includes the Closing Date, any Taxes and Tax Related Costs with respect to the Additional Assets allocable to the Pre-Closing Period (as defined in Section 9.1(b) and determined as described in Section 9.1(d)) shall be the liability of DEPI and any other Taxes and Tax Related Costs with respect to the Additional Assets shall be the liability of Purchaser.
Tax Related Costs will be allocated consistently with the Taxes to which the Tax Related Costs relate.
The amount of Taxes and Tax Related Costs allocable to the time period described in the previous sentence will be determined in a manner similar to and consistent with the determination of Pre-Closing Period Taxes and Tax Related Costs under Section 9.1(d).
Subject to Sections 9.1(e) and 9.1(f), after Closing, DEPI shall be liable for, and shall indemnify and hold harmless Purchaser, the Companies and the Subsidiaries from and against, all Taxes and Tax Related Costs with respect to the Additional Assets attributable to any taxable period ending on or prior to the Closing Date, including income Taxes arising as a result of any Sellers gain on the sale of the Additional Assets as contemplated by this Agreement.
