Tax Escrow Dispute definition

Tax Escrow Dispute means any dispute described in Section 2.07(i) regarding the (i) Tax treatment of (a) any Contingent Litigation Matter Costs (except to the extent that a reserve has been established with respect thereto under Section 2.08(c)(iv)), or (b) amounts payable to BCBSKS out of the Escrow Fund pursuant to Section 2.07, (ii) any other Tax matter described in the definition of Contingent Litigation Matter Costs or (iii) the Tax amounts described in Section 2.07(c)(ii).

Examples of Tax Escrow Dispute in a sentence

  • In the case of (i) any amount for which a reserve has been established pursuant to Section 2.08(c)(iv) or (ii) any Tax Escrow Dispute, the reserve or disputed amount shall be held in the Escrow Fund until there has been a Final Determination with respect to the Tax issue for which the reserve was established or which gave rise to the dispute.

  • Within ninety (90) calendar days following the Final Determination of any Tax issue for which a reserve has been established pursuant to Section 2.08(c)(iv) or that is the subject of a Tax Escrow Dispute, Purchaser shall provide to the Policyholder Committee an Escrow Company Funds Notice setting forth its calculation of the amount of any Indemnifiable Tax Costs or Contingent Litigation Matter Costs resulting therefrom.

  • Indemnity Escrow Amount means $3,000,000.

  • Billing Dispute Notice means a formal, written notice submitted to MultiChoice by the Customer in terms of this Procedure.

  • Indemnity Escrow Fund means the Indemnity Escrow Amount deposited with the Escrow Agent, as such sum may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any remaining interest or other amounts earned thereon.

  • Dispute Notice has the meaning set forth in Section 2.7(b).

  • Disagreement means a difference of opinion between personnel of a reporting issuer responsible for finalizing the reporting issuer’s financial statements and the personnel of a predecessor auditor responsible for authorizing the issuance of audit reports on the reporting issuer’s financial statements or authorizing the communication of the results of the auditor’s review of the reporting issuer’s interim financial report, if the difference of opinion

  • Adjustment Escrow Funds means, at any time, the portion of the Adjustment Escrow Amount then remaining in the Adjustment Escrow Account.

  • Dispute Date means, with respect to a Dispute, the date on which a Dispute Notice is effectively delivered by one party to the other party save that if, with respect to a Dispute, both parties deliver a Dispute Notice, the date on which the first in time of such notices is effectively delivered will be the Dispute Date. Each Dispute Notice will be effectively delivered if delivered in the manner agreed between the parties for the giving of notices in respect of this Agreement.

  • Billing Dispute means the dispute of an invoice prepared by an Operator to the Other Operator which is made in good faith.

  • Expedited Dispute Timetable means the accelerated timetable for the resolution of disputes as set out in paragraph 2.6;

  • Adjustment Escrow Amount means $1,000,000.

  • Indemnification Escrow Amount has the meaning specified in Section 3.6(a).

  • Dispute means any dispute, controversy, claim or difference of whatever nature arising out of, relating to, or having any connection with this Agreement, including a dispute regarding the existence, formation, validity, interpretation, performance or termination of this Agreement or the consequences of its nullity and also including any dispute relating to any non-contractual rights or obligations arising out of, relating to, or having any connection with this Agreement.

  • Reconciliation Dispute has the meaning set forth in Section 7.9 of this Agreement.

  • Tax Proceeding has the meaning set forth in Section 5.2(a).

  • Formal Dispute means a written objection by an Interested Party to any of the following:

  • Tax Matter has the meaning set forth in Section 7.01.

  • Indemnity Escrow Account means the escrow account established by the Escrow Agent pursuant to the terms of the Escrow Agreement for purposes of holding the Indemnity Escrow Amount.

  • Indemnity Escrow Agreement means the Indemnity Escrow Agreement substantially in the form attached hereto as Exhibit B, among the Sellers, the Buyers and the Escrow Agent.

  • Escrow Fund has the meaning ascribed to it in Section 7.2(a).
