Tax Benefit Note definition

Tax Benefit Note means the tax benefit note to be issued by K&F Parent, Inc. to the existing stockholders and optionholders of the Company prior to the Acquisition for estimated tax benefits to be received by the Company due to the payment of fees and premiums in connection with the Tender Offers.
Tax Benefit Note means the tax benefit note issued by the Company to the then existing stockholders and optionholders of K&F Industries for estimated tax benefits to be received by K&F Industries due to the payment of fees and premiums in connection with the Tender Offers.
