For the avoidance of doubt, it is clarified that the Conversion Shares shall be received by the Lender in practice (insofar as the Lender sought to convert the Loan) only following their listing in accordance with the provisions of the TASE Regulations and the directives by virtue thereof.
Each one of the holders of Rights to Shares and/or Rights-based Shares hereby confirms that he is aware that the Company will be required to obtain TASE’s approval for the allotment of the Rights-based Shares, in addition to the approval granted by the TASE for the allotment of the Rights-based Shares at the time such Rights to Shares were granted.
The Company shall act to procure the registration of the Exercise Shares on the TASE shortly after receipt of the Exercise Price, and shall hold the consideration paid for the Exercise Shares in trust for the Investor and shall make no use thereof until the Exercise Shares are credited to the Investor.
