  • Holders of TargetCo Shares will each receive one (1) Purchaser Share in the capital of the Purchaser in exchange for one (1) TargetCo Share.

  • If, between the date of this Agreement and the Effective Time, the outstanding TargetCo Shares or AcquireCo Shares are changed into a different number or class of shares by reason of any stock split, division or subdivision of shares, stock dividend, reverse stock split, consolidation of shares, reclassification, recapitalization or other similar transaction, then the Share Exchange Ratio shall be appropriately adjusted.

  • Acquired Shares has the meaning set forth in the Recitals.
