Target SEC Documents definition

Target SEC Documents means all reports, schedules, forms, proxy statements, prospectuses (including prospectus supplements), registration statements and other information filed by the Target Company with the U.S. Securities and Exchange Commission or furnished by Target Company to the U.S. Securities and Exchange Commission pursuant to the Securities Exchange Act of 1934.

Target SEC Documents shall have the meaning set forth in Section 2.4 hereof.

Target SEC Documents has the meaning set forth in Section 5.04(a).

Examples of Target SEC Documents in a sentence

• In addition, Target has made available to Acquiror all exhibits to the Target SEC Documents filed prior to the date hereof, and will promptly make available to Acquiror all exhibits to any additional Target SEC Documents filed prior to the Effective Time.

• The Target has made available to Parent all such Target SEC Documents that it has so filed or furnished prior to the date hereof.

• Submitters may also combine and appoint one person to cross-examine witnesses.

• As of their respective filing dates (or, if amended or superseded by a subsequent filing, as of the date of the last such amendment or superseding filing prior to the date hereof), each of the Target SEC Documents complied as to form in all material respects with the applicable requirements of the Securities Act, and the Exchange Act, and the rules and regulations of the SEC thereunder applicable to such Target SEC Documents.

Target SEC Documents means all forms, documents and reports (including exhibits and other information incorporated therein) filed or furnished by Target with the SEC;

Target SEC Documents means (i) the Target's annual reports on Form 10-K for its fiscal years ended December 31, 1999 and December 31, 1998 (collectively, the "Target 10-K"), (ii) the Target's quarterly reports on Form 10-Q (the "Target 10-Q") for its fiscal quarters ended March 31, 2000, June 30, 2000 and September 30, 2000, (iii) the proxy or information statements of Target dated after or used after December 31, 1998 and (iv) all other reports, filings, registration statements and other documents filed by Target with the SEC after December 31, 1998 pursuant to the Exchange Act, in each case together with all schedules and exhibits thereto and as subsequently amended.
