Examples of Target Distribution Amount in a sentence
For each Quarter in which the Managing Member elects, pursuant to this Section 4.6, to reduce the Target Distributions, the adjusted Target Distribution Amount shall be the amount obtained by multiplying (a) the Target Distribution amount determined prior to the application of this Section 4.6 times (b) the quotient obtained by dividing (i) CAFD with respect to such Quarter by (ii) the sum of CAFD plus the Estimated Incremental Quarterly Tax Amount for such Quarter (as determined by the Managing Member).
The initial Target Distribution Amount is: • $0.0050 per Class A Unit per month ($0.6 per annum representing an annual cash distribution of six (6%) percent based on the initial offering price of ten ($10.00) dollars per Class A Unit); and• $0.0058 per Class F Unit per month ($0.7 per annum representing an annual cash distribution of seven (7%) percent based on the initial offering price of ten ($10.00) dollars per Class F Unit).
There is no assurance that the Fund will be able to achieve its objectives or pay distributions equal to the Target Distribution Amount (as defined under “Distribution Policy”) or at all.
For the avoidance of doubt, the dividend by the Company to Seller of the capital stock of the TPA Entities pursuant to this Section 5.19 shall not be deemed to be a distribution in respect of the Target Distribution Amount.
To the extent Adjusted Working Capital as of the Final Determination Date is greater than $25,625,000, the Target Distribution Amount will be increased, on a dollar for dollar basis, by the amount of such excess, subject to the Maximum Distribution Amount.
