Examples of Target Closing Working Capital in a sentence
The amount, if any, by which Target Closing Working Capital exceeds Estimated Closing Working Capital shall be referred to herein as the “Estimated Working Capital Deficit”.
The post-closing adjustment shall be an amount equal to the Closing Working Capital minus the Target Closing Working Capital plus the Excess Cash, if any (the “Post-Closing Adjustment”).
The Cash Purchase Price payable at the Closing will be (i) increased, dollar-for-dollar, to the extent the Estimated Closing Working Capital, as reflected on the Estimated Working Capital Statement, is greater than the Target Closing Working Capital or (ii) decreased, dollar-for-dollar, to the extent the Estimated Closing Working Capital, as reflected on the Estimated Working Capital Statement, is less than the Target Closing Working Capital.
Notwithstanding the above, the College may impose a “no contact” order on each party, requiring the parties to refrain from having contact with one another, directly or through proxies, whether in person, telephone, mail, email, through third party, or by any other means of communication.
The result of the calculation in the preceding sentence shall be increased by the amount, if any, by which the Estimated Closing Working Capital exceeds the Target Closing Working Capital or decreased by the amount, if any, by which the Target Closing Working Capital exceeds the Estimated Closing Working Capital (such consideration, the “Initial Cash Consideration”).
