Tallgrass Group definition

Tallgrass Group means the Company and its Subsidiaries, Tallgrass Development, LP, a Delaware limited partnership, and its Subsidiaries, TEP and its Subsidiaries, TEGP, Tallgrass Energy Holdings, LLC, a Delaware limited liability company, and its Subsidiaries and Rockies Express Pipeline LLC.

Tallgrass Group means Tallgrass Energy Holdings, LLC, TEGP Management, LLC, Tallgrass Energy GP, LP, Tallgrass Equity, LLC, the Company, the Partnership, Tallgrass Development, LP, and their respective Affiliates and subsidiaries. "Vesting Date" the date on which the Equity Participation Units vest pursuant to Section 2(a) or 2(b) of this Agreement.

  • Each of the Members hereby acknowledges that the Tallgrass Group operates in a competitive business and competes with other Persons operating in the oil and gas industry for acquisition and business opportunities.

  • Participant further acknowledges that the restrictions contained in this Section are reasonable and necessary for the protection of the immediate interests of the Company and the other members of the Tallgrass Group in that any violation of these restrictions would cause substantial injury to the Company and the other members of the Tallgrass Group.

  • Additionally, the parties acknowledge and agree that the Participant does not need the prior authorization of the Company or any member of the Tallgrass Group to make any such reports or disclosures and the Participant is not required to notify the Company or any member of the Tallgrass Group that the Participant has made such reports or disclosures.

  • The covenants and obligations of the Participant set forth in Section 8 are in addition to and not in lieu of or exclusive of any other obligations and duties of the Participant to the Company or any member of the Tallgrass Group, whether express or implied in fact or in law.

Related to Tallgrass Group

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • GP means Gottbetter & Partners, LLP.

  • Constellation has the meaning assigned to that term in the Recitals.

  • Distribution Company means a distribution company as defined in Section 1 of Chapter 164 of the Massachusetts General Laws.3

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity).   • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • GP LLC means Plains All American GP LLC, a Delaware limited liability company.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • General partnership means an organization formed under chapters 45-13 through 45-21.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Community Contribution Company means a corporation formed under the laws of British Columbia that includes in its articles the following statement:

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Partnership Group Member means any member of the Partnership Group.

  • Distributor / Distribution Company means Company(ies), Firm(s), Sole Proprietorship concern(s), individual(s), Banks or any other Financial Institution appointed by the Management Company under intimation to the Trustee for performing any or all of the Distribution Functions and who are registered with MUFAP as Registered Service Providers. The Management Company may itself also performs the Distribution Function.

  • MLP Partnership Agreement means the Amended and Restated Agreement of Limited Partnership of the MLP, as amended or restated from time to time.

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.

  • Service Partners means any successful vendor who is awarded the proposal or who entered into an agreement with CIPC and/or its clients to offer consulting services in areas such as but not limited to, strategic e-business consulting, evaluation, implementation and continuous improvement or system integration.
