The books, records and accounts of T24 and its Subsidiaries: (a) have been maintained in accordance with good business practices; (b) are stated in reasonable detail and accurately and fairly reflect in all material respects the transactions and dispositions of the respective assets of T24 and its Subsidiaries; and (c) accurately and fairly reflect in all material respects the basis for the T24 Balance Sheet.
