Syndication Agent Agreement definition

Syndication Agent Agreement shall have the meaning assigned to such term in subparagraph 8.02(a) below.
Syndication Agent Agreement means that certain agreement, dated as of the Closing Date, by and between the Company and KKR Capital Markets LLC, pursuant to which the Company has engaged KKR Capital Markets LLC to act as the syndication agent in connection with the syndication of equity interests in the Sponsor.
Syndication Agent Agreement means the Syndication Agent Agreement dated as of January 20, 2010 among the Syndication Agent, the Issuer and the Guarantor.

Related to Syndication Agent Agreement

  • Auction Agent Agreement means the Initial Auction Agent Agreement unless and until a Substitute Auction Agent Agreement is entered into, after which "Auction Agent Agreement" shall mean such Substitute Auction Agent Agreement.

  • Lead Arrangers means Xxxxxxx Xxxxx Bank USA, Barclays Bank PLC, Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., KKR Capital Markets LLC, Citigroup Global Markets Inc. and UBS Securities LLC.

  • Arranger means Banc of America Securities LLC, in its capacity as sole lead arranger and sole book manager.

  • Paying Agent Agreement shall have the meaning set forth in Section 3.2(a).

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Syndication means an extension of credit in which two or more persons fund and each person is at risk only up to a specified percentage of the total extension of credit or up to a specified dollar amount.

  • Licensor/Agent Agreement means an agreement between Agent and a Licensor, in form and content satisfactory to Agent, by which Agent is given the unqualified right, vis-a-vis such Licensor, to enforce Agent’s Liens with respect to and to dispose of any Borrower’s Inventory with the benefit of any Intellectual Property applicable thereto, irrespective of such Borrower’s default under any License Agreement with such Licensor.

  • Co-Lender Agreement With respect to any Loan Combination, the co-lender agreement, intercreditor agreement, agreement among noteholders or similar agreement, dated as of the date set forth in the Loan Combination Table under the column heading “Date of Co-Lender Agreement” and governing the relative rights of the holders of the related Mortgage Loan and Companion Loan(s), as the same may be amended, restated or otherwise modified from time to time in accordance with the terms thereof. A Co-Lender Agreement exists with respect to each Loan Combination as of the Closing Date.

  • Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.

  • Joint Lead Arranger as defined in the preamble to this Agreement.

  • Joint Lead Arrangers shall have the meaning assigned to such term in the introductory paragraph of this Agreement.
