Sweetwater 2 Common Facilities Agreement definition

Sweetwater 2 Common Facilities Agreement means the Cotenancy, Common Facilities and Easement Agreement, dated as of August 9, 2004, among Sweetwater 2 Project Entity, Sweetwater Wind Power L.L.C., a Texas limited liability company, Sweetwater 1 Project Entity, Sweetwater 3 Project Entity, Sweetwater Wind 4 LLC, a Delaware limited liability company, Sweetwater Wind 5 LLC, a Delaware limited liability company, and Sweetwater Wind 6 LLC, a Delaware limited liability company. "Sweetwater 2 GE Guarantee" means the Guarantee, dated as of July 2, 2004, executed by General Electric Company, a New York corporation in favor of Sweetwater 2 Project Entity. "Sweetwater 2 Hospital District Agreement" means the Agreement, dated October 23, 2003, between Xxxxx County Hospital District, dba Rolling Plains Memorial Hospital, Sweetwater Wind Power L.L.C., a Texas limited liability company, Sweetwater 1 Project Entity and Sweetwater 2 Project Entity. "Sweetwater 2 Interconnection Agreement" means the ERCOT Standard-Generation Interconnection Agreement dated October 23, 2002 as amended by Amendment Xx. 0, Xxxxxxxxx Xx. 0, Xxxxxxxxx Xx. 0 and Amendment No. 4, as successor in interest to Oncor Electric Delivery Company, and Sweetwater Wind Power L.L.C., a Texas limited liability company successor in interest to DKRW Energy LLC (formerly known as DKR Development, L.L.C.), a Delaware limited liability company, Sweetwater 1 Project Entity, as partial assignee of Sweetwater Wind Power L.L.C., a Texas limited liability company and Sweetwater 2 Project Entity, as partial assignee of Sweetwater Wind Power L.L.C., a Texas limited liability company. "Sweetwater 2 July Partial Assignment" means the Partial Assignment, dated as of July 2, 2004, by and between DKR Wind Energy, LLC, a Texas limited liability company, as assignor, and Sweetwater 2 Project Entity, as assignee. "Sweetwater 2 LLC Agreement" means the Amended and Restated Limited Liability Company Agreement of Sweetwater Wind 2 LLC, dated as of February 11, 2005, by and among Xxxxxxx & Xxxxx Sweetwater 2 LLC, a Delaware limited liability company; Catamount Sweetwater 2 LLC, a Vermont limited liability company; FC Energy Finance I, Inc., a Delaware corporation, KEF Equity Investment Corp., a Colorado corporation, The Northwestern Mutual Life Insurance Company, a Wisconsin corporation and Bankers Commercial Corporation, a California corporation.   • Senior Facilities Agreement means the senior facilities agreement dated on or about the date hereof executed between, among others, (a) the Original Senior Borrower, (b) the Original Senior Lenders, (c) the Senior Agent and (d) the Security Agent.

  • Common Facilities means the facilities under D.G.sets/D.G.rooms, water storage tanks its pumping and supply system, sewerage & drainage systems, electric sub-station/ transformers/electric panels/distribution network, maintenance service rooms, lawns including lighting & services etc., roads, pathways & driveways including street lighting & services etc., guard posts, fire hydrants & fire fighting system etc. and all such facilities and areas for common use and excluded from the computation of Super Area of the Said Premises;

  • Pollution control facilities means water and air pollution control equipment and solid waste disposal facilities or any of them.

  • Facilities Agreement means the facilities agreement, dated as of September 17, 2012, entered into among the Issuer and certain of its Subsidiaries, the financial institutions and noteholders party thereto, Citibank International PLC, as new administrative agent, and the Security Agent, as such agreement may be amended, modified or waived from time to time.

  • Clean coal SNG facility means a facility that uses a

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.

  • Common Facility Means a place where tenants utilise the same equipment such as kitchen, laundry meeting room and or car park.

  • Idle facilities means completely unused facilities that are excess to the governmental unit's current needs.

  • Air navigation facility means any facility, other than one owned and operated by the United States, used in, available for use in, or designed for use in aid of air navigation, including any structures, mechanisms, lights, beacons, markers, communicating systems, or other instrumentalities or devices used or useful as an aid, or constituting an advantage or convenience to the safe taking off, navigation, and landing of aircraft, or the safe and efficient operation or maintenance of an airport, and any combination of any or all of such facilities.

  • Solid Waste Disposal Facility means any facility involved in the disposal of solid waste, as defined in NCGS 130A-290(a)(35).

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Solid waste facility means a site, location, tract of land, installation, or building used for incineration, composting, sanitary landfilling, or other methods of disposal of solid wastes or, if the solid wastes consist of scrap tires, for collection, storage, or processing of the solid wastes; or for the transfer of solid wastes.

  • Facilities Study shall be an engineering study conducted by the Transmission Provider (in coordination with the affected Transmission Owner(s)) to: (1) determine the required modifications to the Transmission Provider’s Transmission System necessary to implement the conclusions of the System Impact Study; and (2) complete any additional studies or analyses documented in the System Impact Study or required by PJM Manuals, and determine the required modifications to the Transmission Provider’s Transmission System based on the conclusions of such additional studies. The Facilities Study shall include the cost and scheduled completion date for such modifications, that will be required to provide the requested transmission service or to accommodate a New Service Request. As used in the Interconnection Service Agreement or Construction Service Agreement, Facilities Study shall mean that certain Facilities Study conducted by Transmission Provider (or at its direction) to determine the design and specification of the Customer Funded Upgrades necessary to accommodate the New Service Customer’s New Service Request in accordance with Tariff, Part VI, section 207.   • Railroad facilities means right of way and related

  • Generating Facilities means Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. Generation Interconnection Customer:

  • Historic building means a building, including its structural components, that is located in this state and that is either individually listed on the national register of historic places under 16 U.S.C. 470a, located in a registered historic district, and certified by the state historic preservation officer as being of historic significance to the district, or is individually listed as an historic landmark designated by a local government certified under 16 U.S.C. 470a(c).

  • Utility Facilities means all personal property and real property owned or controlled by Utility, including Poles.

  • Waste Disposal Site means a Waste Disposal Site which is not a Hauled Sewage Disposal Site, a Sewage Works or a Waste Stabilization Pond; and

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.

  • Transmission Owner Interconnection Facilities means all Interconnection Facilities that are not Customer Interconnection Facilities and that, after the transfer under Tariff, Attachment P, Appendix 2, section 5.5 to the Interconnected Transmission Owner of title to any Transmission Owner Interconnection Facilities that the Interconnection Customer constructed, are owned, controlled, operated and maintained by the Interconnected Transmission Owner on the Interconnected Transmission Owner’s side of the Point of Interconnection identified in appendices to the Interconnection Service Agreement and to the Interconnection Construction Service Agreement, including any modifications, additions or upgrades made to such facilities and equipment, that are necessary to physically and electrically interconnect the Customer Facility with the Transmission System or interconnected distribution facilities. Transmission Provider: The “Transmission Provider” shall be the Office of the Interconnection for all purposes, provided that the Transmission Owners will have the responsibility for the following specified activities:
