Sustainability Rate Adjustment definition

Sustainability Rate Adjustment with respect to any KPI Metrics Report for any period between Sustainability Pricing Adjustment Dates, an amount (whether positive, negative or zero), expressed as a percentage, equal to the sum of (a) the Carbon Savings KPI Applicable Rate Adjustment Amount (whether positive, negative or zero), plus (b) the Transmission Pipeline Inspection KPI Applicable Rate Adjustment Amount (whether positive, negative or zero), in each case for such period.
Sustainability Rate Adjustment means, with respect to any Sustainability Report for any fiscal year, an amount (whether positive, negative or zero), expressed as a percentage, equal to the sum of (a) the Resource Solutions Applicable Rate Adjustment Amount plus (b) the TRIR Applicable Rate Adjustment Amount, in each case as set forth in the applicable Pricing Certificate for such fiscal year.
Sustainability Rate Adjustment with respect to any KPI Metrics Report for any fiscal year, an amount (whether positive, negative or zero), expressed as a percentage, equal to the sum of (a) the CO2 Intensity Applicable Rate Adjustment Amount, plus (b) the Women’s Employment Rate Applicable Rate Adjustment Amount, in each case for such fiscal year. ​

  • It is hereby understood and agreed that, (a) the Applicable Commitment Fee Percentage shall be adjusted from time to time based upon the Sustainability Fee Adjustment (to be calculated and applied as set forth in Section 2.21) and (b) the Applicable Interest Rate Percentage shall be adjusted from time to time based upon the Sustainability Rate Adjustment (to be calculated and applied as set forth in Section 2.21).

  • Notwithstanding the foregoing or anything to the contrary herein, in the event that a Pricing Certificate has been delivered, and the Company has not delivered the Historical Report, the Sustainability Rate Adjustment and the Sustainability Fee Adjustment with respect to such fiscal year shall be the Threshold Adjustment.

  • It is further understood and agreed that any Sustainability Rate Adjustment or Sustainability Commitment Fee Adjustment made for any Applicable Sustainability Pricing Adjustment Period shall only be applicable for such Applicable Sustainability Pricing Adjustment Period 157672908_8 and any increases or reductions to the Applicable Margin resulting therefrom shall be reset to “zero” following the conclusion of such Applicable Sustainability Pricing Adjustment Period.

Sustainability Rate Adjustment with respect to any Sustainability Report for any fiscal year, an amount, expressed as a percentage, equal to +0.05%, +0.025%, 0%, -0.025% or -0.05%, as the case may be, in each case for such fiscal year, as set forth in Annex B of Exhibit I.

Sustainability Rate Adjustment means, with respect to any period between Sustainability Pricing Adjustment Dates, (a) positive 0.02%, if the KPI Metric for such period as set forth in the Pricing Certificate is less than the GHG Emissions Reductions Threshold for such period, (b) 0.000%, if the KPI Metric for such period as set forth in the Pricing Certificate is greater than or equal to the GHG Emissions Reductions Threshold for such period but less than the GHG Emissions Reductions Target for such period, and (c) negative 0.02%, if the KPI Metric for such period as set forth in the Pricing Certificate is greater than or equal to GHG Emissions Reductions Target for such period.
Sustainability Rate Adjustment means, with respect to any KPI Metrics Report for any period between Sustainability Pricing Adjustment Dates, a reduction in an amount equal to (a) 0.01%, if the KPI Metric for such period as set forth in the KPI Metrics Report is more than the KPI Metric Threshold A, but less than or equal to KPI Metric Threshold B, for such period, (b) 0.02%, if the KPI Metric for such period as set forth in the KPI Metrics Report is more than the KPI Metric Threshold B for such period and (c) 0.000%, if the KPI Metric for such period as set forth in the KPI Metrics Report is less than or equal to the KPI Metric Threshold A for such period.
Sustainability Rate Adjustment with respect to any Sustainability Report for any fiscal year, the number of basis points (whether positive, negative or zero) resulting from the sum of (a) the Threshold A Applicable Rate Adjustment Amount, plus (b) the Threshold B Applicable Rate Adjustment Amount, in each case, for such fiscal year.
Sustainability Rate Adjustment means an amount (whether positive or negative) determined in accordance with the KPI Metrics Report then most recently delivered pursuant to Section 6.02(d), and with reference to the Sustainability Table, expressed in basis points, equal to the sum of (a) the Greenhouse Gas Emissions Intensity Reduction Rate Adjustment Amount, plus (b) the Gender Pay Equity Rate Adjustment Amount.
