Supplier Failure definition

Supplier Failure means any failure of Supplier, Supplier Personnel and/or Supplier Subcontractors to provide the Services so that they meet the Service Levels, any deterioration or disruption in the provision of the Services, or any failure by Supplier to comply with any other obligations under the Agreement, excluding cases where the failure, deterioration or disruption results from a Force Majeure Event or a Customer Default.
Supplier Failure means a failure of any equipment, product or service supplied to Simpro by a third party (including Stripe) and required to perform Simpro’s obligations under the Agreement. Term has the meaning given in clause 3. Terms and Conditions means these terms and conditions. Transaction means any purchase, sale, order, payment or other transaction made by or on behalf of the Customer or a Guest through the Services or the Account.
Supplier Failure means any Default in respect of which the Supplier is liable to the Commission and which:  is not capable of remedy; or  is capable of remedy and which has not been remedied by the Supplier within thirty (30) days of notification of such breach by the Commission.

  • The Supplier shall not be obliged to correct any defect in the Software Product which is caused by a Non- Supplier Failure, provided always that the Supplier shall, if so requested by the Customer, use its reasonable endeavours to resolve and mitigate the effects of such Non-Supplier Failure.
