Supplier Confidential Information definition

Supplier Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel of the Supplier, including all IPRs, together with information derived from the foregoing, and that in any case is clearly designated as being confidential;

Supplier Confidential Information means certain confidential and proprietary information of Supplier that is clearly marked as confidential and agreed by the State Purchasing Director or Customer, as applicable, but does not include information excluded from confidentiality in provisions of the Contract or the Oklahoma Open Records Act.

More Definitions of Supplier Confidential Information

Supplier Confidential Information means information marked by the Supplier as confidential due to commercial sensitivity and shall in all cases include the amount of the Rebate applicable to a Medicine or Device.

Supplier Confidential Information means any and all manufacturing processes, technologies, procedures or any information regarding any of Supplier’s other manufacturing customers that relates to the manufacture of any products by Supplier, except such information or Technology which SCRIPSAMERICA and/or SCRIPSAMERICA can clearly show (A) was publicly known prior to the date of this Agreement; (B) subsequent to the date of this Agreement has become publicly known through no fault of SCRIPSAMERICA and/or SCRIPSAMERICA; (C) was known to and documented by SCRIPSAMERICA and/or SCRIPSAMERICA prior to the date of this Agreement and with respect to which SCRIPSAMERICA and SCRIPSAMERICA were not and are not under any obligation of confidentiality; or (D) was disclosed to SCRIPSAMERICA and/or SCRIPSAMERICA without restriction on disclosure or use by a third party who was not under any obligations of confidentiality (contractual or otherwise).

Supplier Confidential Information shall include the Program(s), Supplier Technology and other proprietary inventions, source codes, trade secrets, proprietary processes and formulae, patents, financial information, or any other document based thereon which is labeled “Confidential” (or, if disclosed orally, is identified at the time of such oral disclosure as “Confidential” and within five (5) days followed with written notice that such disclosure is Confidential). Should Supplier disclose to Aetna or an Aetna employee, or should Aetna or Aetna employee learn of Supplier Confidential Information, Aetna agrees that neither Aetna nor the Aetna employee shall, at any time during or after the term of this Agreement, disclose such information to any individual, company or other entity or agency, nor use such Supplier Confidential Information for Aetna’s own advantage other than in performance of this or any subsequent similar Agreement with Supplier.

Supplier Confidential Information has the meaning set forth in Section 5.1.

Supplier Confidential Information means all information of the Supplier that is of a proprietary or confidential nature and is identified as proprietary or confidential, whether recorded or not, and however fixed, stored, expressed or embodied, which comes into the knowledge, possession or control of the Ministry in connection with the Master Agreement. Supplier Confidential Information includes but is not limited to, all new information derived at any time from any such proprietary or confidential information whether created by the Supplier, the Ministry or any third-party.

Supplier Confidential Information means all confidential --------------------------------- business and technical communications, documents or other information, whether in written, oral or other form, of Supplier or a Supplier Affiliate that are disclosed to GWI by Supplier or a Supplier Affiliate or GWI otherwise learns in connection with the negotiation or performance of this Agreement; provided, however, that all information relating to the Products shall be GWI Confidential Information except to the extent that information is part of or constitutes a Supplier Development. GWI agrees that the provisions of this Agreement shall apply to all Supplier Confidential Information disclosed by Supplier or any Supplier Affiliate or learned by GWI prior to the date of this Agreement.
