Supplemental Offer Materials definition

Supplemental Offer Materials means any “written communication” (as defined in Rule 405 under the U.S. Securities Act) that constitutes an offer to sell or a solicitation of an offer to buy the Equity Shares (other than the Preliminary Offering Memorandum and the Offering Memorandum) including, but not limited to, the investor road show presentations or any other road show materials relating to the Equity Shares or the Offer;

  • Each of the Company and the Selling Shareholders confirms, severally and not jointly, that it has authorized and hereby authorizes each of the Underwriters to distribute copies of the Offer Documents, Supplemental Offer Materials and any addendum thereto and communicate the Pricing Information in such manner as is permitted under this Agreement, the Transaction Agreements, Applicable Law and the selling restrictions applicable in the relevant jurisdiction as per this Agreement.
