The chairman of the meeting shall, if the facts warrant, determine and declare to the meeting, that any proposed nomination of a stockholder nominee was not made in accordance with the foregoing procedures and, if he should so determine, he shall declare to the meeting and the defective nomination shall be disregarded.

Such Notice of redemption shall provide for the Redemption Record Date (as defined in the Certificate of Designation) to be at least 20 days after the notice of redemption has been given. On the Redemption Record Date, the Surviving Corporation shall redeem all outstanding shares of Company Convertible Preferred Stock in accordance with the terms of the Certificate of Designation.
