Substitute Members definition

Substitute Members means those Persons admitted as Members in accordance with Section 9.4.
Substitute Members mean any Person admitted to the Company as a Substitute Member pursuant to Section 9.5. ​
Substitute Members means and refer to that Person or those Persons admitted to the Company as a Member, in accordance with the provisions of Article XII hereof and so reflected in Exhibit A.

Examples of Substitute Members in a sentence

  • The Company shall not be dissolved by the admission of Substitute Members or Additional Members.

  • Persons who become Substitute Members pursuant to Article 11.5 need not comply with clause (i) of the preceding sentence.

  • An Involuntary Transferee shall not be deemed a Member until such time if ever, that they seek admission and are approved as a Substitute Member(s).

  • Persons who become Substitute Members pursuant to Section 11.2(b) need not comply with clause (i) of the preceding sentence.

  • The Original Members have agreed to amend the Agreement to provide for the inclusion of JAB as an Additional Member and to permit the Administrative Manager (a) to admit such other persons as he shall deem proper as Additional Members and (b) provide for and accept Substitute Members as he shall deem proper, all in his sole and exclusive discretion.

  • An Involuntary Transferee shall not be deemed a Series Member until such time if ever, that they seek admission and are approved as a Substitute Member(s) of a Series.


More Definitions of Substitute Members

Substitute Members means those Persons admitted as Members in accordance with Section 8.5. "Tax Distribution Amount" means: (a) for any Member other than a Tax-Exempt Member, the amount of the Company's actual pre-tax Profit for the fiscal year as recorded on the Company's regulatory books of account. (1) multiplied by such Member's Percentage Interest; (2) with the product arrived at in (1) multiplied further by the Tax Liability Factor.

  • Substitute Member means a Person who is admitted as a Member of the Company pursuant to Section 2.7 as a result of a Transfer of Shares to such Person.
