Substantive Documents definition
Substantive Documents means this Agreement, the Funding Agreement, the Elan License Agreement, the RPI License Agreement, the Convertible Note, the RPI Securities Purchase Agreement, the Registration Rights Agreements, the Certificate of Designations and associated documentation of even date herewith, by and between RPI, Elan, EIS and Newco, as applicable.
Examples of Substantive Documents in a sentence
There are no agreements or understandings with respect to the subject matter hereof, either oral or written, between the Parties other than as set forth in this Agreement and the Substantive Documents.
Newco has full authority to conduct its business as contemplated in the Business Plan and the Substantive Documents.
No Effect on Other Agreements: --------------------------------------------- This Agreement (including the Schedules attached hereto) and the Substantive Documents set forth all of the agreements and understandings between the Parties with respect to the subject matter hereof, and supersedes and terminates all prior agreements and understandings between the Parties with respect to the subject matter hereof.
